Introduction: Company Name Change

Change of a Company Name is a legal procedure where its primary identifier (name) is officially changed. Changing this name requires amendment to MOA/AOA of the Company and approval from the OCR. Our process ensures that your transition from the “Old Name” to the “New Name” is documented precisely to maintain the continuity of your legal contracts and history. 

Legal Requirements: Compliance Under the Companies Act, 2063

Pursuant to Section 19 and Section 21 of the Companies Act, 2063, a company must pass a Special Resolution (requiring 75% majority) in a General Meeting to approve a name change. The proposed name must not be identical or misleadingly similar to any existing entity. Such name change after approval by the OCR shall be published in National daily newspaper. 

Operating under a new name without official OCR certification is a violation of Section 6 and Section 160, which can lead to the cancellation of company registration. Furthermore, using an uncertified name on invoices, contracts, or official seals makes the signing directors personally liable for those obligations. Late filings or failure to notify authorities within the 30-day resolution window also trigger progressive fines under Section 161.

Process: Company Name Change

Special Resolution & MOA/AOA Amendment
The company convenes an Extraordinary General Meeting (EGM) to pass a Special Resolution. We assist in drafting the amended Memorandum (MOA) and Articles (AOA) to reflect the new name across all clauses.
Digital File Upload & approval by OCR:
The EGM minutes along with the amended MOA, AOA and Tin Mahale are uploaded to the CAMIS portal. We handle the digital submission and track the application until the OCR issues the updated Registration Certificate.
Newspaper Publication
After the approval of the name change application by OCR, a public notice of the name change is published in a national daily newspaper 3 time.
Post-Change Notifications
A name change is not complete until the notice published in newspaper is submitted digitally to the office of company registrar. We upload the extracts of the newspapers where the name change notice was published digitally to the OCR.
