Change of a Company Name is a legal procedure where its primary identifier (name) is officially changed. Changing this name requires amendment to MOA/AOA of the Company and approval from the OCR. Pursuant to Section 19 and Section 21 of the Companies Act, 2063, a company must pass a Special Resolution (requiring 75% majority) in a General Meeting to approve a name change. The proposed name must not be identical or misleadingly similar to any existing entity. Such name change after approval by the OCR shall be published in National daily newspaper.
Operating under a new name without official OCR certification is a violation of Section 6 and Section 160, which can lead to the cancellation of company registration.
