Under Section 4 of the Private Firm Registration Act, 2014, any change to a firm’s name must be reported to the registering authority to keep the public record accurate. To comply, the proprietor must surrender the Original Registration Certificate and provide a current Tax Clearance Certificate. Additionally, Section 54 of the Income Tax Act, 2058 requires updating your records at the Inland Revenue Department (IRD) so your PAN/VAT details match your new business name.
Failing to register a name change triggers penalties under Section 12 of the Act, including administrative fines and the potential loss of “Active” status. An unrecorded name change can lead to disqualification from government tenders and the rejection of bank loan renewals. Most importantly, any contract signed under a name that does not match the official government record may be declared legally invalid, leaving the proprietor personally liable for all risks.
