Closing a private firm in Nepal requires formal closure process with the Department of Commerce, supplies and consumer protection. “Private Firm” is a sole proprietorship. Unlike a company, a firm has no separate legal existence from its owner, owner is liable for the firm’s actions. According to Section 7 (b) (1) (b) Private Firm Registration Act, 2014, a proprietor can apply for the deregistration of the firm by submitting an application to the department. Rule 9 (a) of the Private Firm Registration Regulations, 2035 requires the owner to provide proof of tax clearance, payment of annual fees and dues along with declaration of no outstanding liability. If the firm is not operating it also requires recommendation from the ward office. Upon examination of the submitted documents and collection of all owed fines/dues the concerned department can cancel the registration of the firm.
Failure to formally close a firm leads to persistent legal and financial burdens. Under the Act, if a firm is not renewed or closed, it remains in the government’s records as a “defaulter,” leading to cumulative renewal fines and penalties. More critically, the Inland Revenue Department (IRD) will continue to expect annual income tax filings. Without a formal Cancellation Certificate and a subsequent PAN Deactivation or “Business Closure” at the IRD, the proprietor remains personally liable for all outstanding taxes, fines, and local government fees, which can lead to the freezing of personal bank accounts or restrictions on registering new businesses in the future.
