Under the Industrial Enterprises Act, 2076, an industrial license is granted based on a specific investment proposal. When an industry decides to scale up—whether by adding new machinery, expanding physical infrastructure, or increasing operational funds—this must be formally recorded. A DOI capital increment redefines your industry’s category (Small, Medium, or Large) and impacts your eligibility for state-provided incentives. Our process ensures that your expanded investment is legally recognized as “Authorized Capital” within the Department of Industry’s records.
Under the Section 12 of Industrial Enterprises Act, 2076, any change in the capital structure or capacity of an industry requires a formal application to the DOI. This is particularly critical if the increment pushes the industry into a higher category (e.g., from Small to Medium). The DOI requires a board resolution, a revised project report, and evidence of the source of funds to maintain DOI Compliance Nepal regarding Capital Increment.
According to section 43(4) If an industry increases its capital without approval from the authorities, it may incur fines ranging from five thousand to three hundred thousand depending on classification of the industry. Operating an industry with “unauthorized” additional capital can lead to the suspension of tax holidays, the denial of repatriation facilities for foreign investors, and the rejection of Customs Duty recommendations for importing industrial machinery and complications during the mandatory periodic renewal of the industrial license.
